The name of the
organization shall be the “Paine Field Chapter of the Washington
Pilots Association, Inc.” The purpose of the organization is to
promote general aviation through the principles, purposes, and
objectives of the Washington Pilots Association.
Article II
Meetings
Section 1
– Regular.Regular meetings of this Chapter
shall be held every month at a pre-determined date. Due notice of
each meeting shall be sent to each member of the Chapter by the
Secretary.
Section 2
– Special. A Special
meeting may be called by the request of at least two members of the
Board of Directors. Notice shall be given as in Section 1 of this
paragraph stating the reason for such meeting, time and location.
Section 3
– Board. Board
Meetings of this chapter requires the attendance of the Officers and
Chapter Directors. They shall be held every month at a
pre-determined date. Due notice of each meeting shall be sent to
each member of the Board of Directors by the Secretary
Section 4
– Quorum.
Five percent of the Members in good standing shall constitute a
quorum for a Regular or Special meeting, save and except that no
less than ten percent of the Members in good standing shall
constitute a quorum for the election of officers provided, however,
that in no case shall less than three Members constitute a quorum
for a regular meeting nor less than five Members constitute a quorum
for the election of officers. Board Meetings require no less than
three Officers or Chapter Directors to constitute a quorum.
Article III
Election and Term of Officers and
Chapter Directors
Section 1
– Officers. The
officers of this Chapter shall consist of the President, Vice
President, Secretary, and Treasurer (or Secretary – Treasurer) to be
nominated and elected to office by the voting members of the
chapter. No person occupying the office of the President of the
Chapter may be elected to that office for more than two consecutive
terms. The President and Vice President must be dues paying members
and licensed pilots.
Section 2
– Chapter Directors.
There shall be a total of Four Chapter Directors. Initially one
member of the Chapter Directors shall be elected to serve for a
period of three years, one for a period of two years, and one for a
period of one year. And thereafter the elected Chapter Directors
shall serve for three years. In addition the outgoing President
shall serve as a Chapter Director for a term of one year.
Section 3
– Nominations.
Nominations for President, Vice President, Secretary, Treasurer and
Chapter Director(s) for the ensuing year shall be made at the
regular meeting in October of each year. The election of these
officers shall take place along with additional nominations, if any,
during the regular November meeting of the Chapter. Each Officer
shall serve for a term of one year, assuming office in January.
Section 4
– Vacancies. Any
Officer or Chapter Director who shall voluntarily absent himself or
herself from three consecutive Regular meetings or three consecutive
Board meetings of the Chapter shall be deemed to have resigned his
position, provided however, that should said person present the
members a good and sufficient reason for said absence from any of
the aforementioned meetings, acceptable to the members, then said
absence shall be deemed excused.
Section 5
– Expulsion.Any Officer or Chapter Director may
be relieved of his office for good and sufficient cause, after due
hearing, by two-thirds affirmative vote of a quorum of the Chapter.
Article IV
Duties
Section 1
– President. The
President shall be the Chief Executive Officer of the Chapter and
shall preside at all meetings of the Chapter. He shall, with the
assistance of the outgoing President, submit a report of the
operations of his Chapter for the fiscal year to the State President
of the Washington Pilots Association at their first regular meeting
each year. He shall be an ex-officio member of all standing
committees of the Chapter, sign all official documents, counter-sign
all checks unless waived by the President, appoint all committees,
and perform such duties as are required of this office.
Section
1a.The President, an implied
member of the State WPA Board of Directors, shall attend annual
state WPA Conventions and represent the Chapter as directed by the
State WPA Board of Directors. The President’s convention
registration fee and basic convention lodging shall be paid from the
Chapter treasury.
Section 2-
Vice President. In
the absence or disability of the President, the Vice President shall
exercise all powers and perform all duties of the Office of the
President. The Vice President shall act as parliamentarian at all
Chapter Meetings.
Section 3
– Secretary. It
shall be the duty of the Secretary of the Chapter to keep the
minutes of all the meetings. The Secretary shall attend to the
giving and serving of all notices of the Chapter, handle all
correspondence, and is custodian of all documents and records, and
shall keep a current list of all members.
Section 4
– Treasurer. The
Treasurer shall notify all members when dues are payable and receive
all monies. The Treasurer shall notify the Membership Standing
Committee Chairperson who will notify the applicant for membership
of their election or rejection. The Treasurer shall give receipts
for all monies and deposit same in the name of the Chapter in such
repository as shall be selected by the members. The Treasurer shall
keep correct records of the financial affairs of the Chapter, making
monthly reports of said finances, have custody of all funds
belonging to the Chapter and disburse same as authorized by the
members. The Treasurer shall collect all annual dues and issue
proper receipts to the members. He shall remit to the State
Secretary or Treasurer within thirty days after receipt, appropriate
dues together with the current name and address of each member
paying dues and a statement as to whether each member’s dues are for
a new or renewal of membership.
Section 5
– Chapter Directors.
Chapter Directors, by nature of their three year term, are to
provide direction and continuity to the Board of Directors. The
Chapter Directors, elected by the members, and the outgoing
President acting as a Chapter Director, shall each be assigned by
the newly elected President to act as Chairperson pro tem for one of
the four Standing Committees. (See Article VIII - Committees)
Article V
Board of Directors
Section 1.
The Board of Directors shall consist of the President, Vice
President, Secretary, Treasurer, and three other members to be
elected as Chapter Directors. The outgoing President shall also
serve as a Chapter Director on the Board of Directors until replaced
by the next outgoing President Vacancies in the Board shall be
filled by the remaining members, and any member appointed to fill in
the un-expired term shall hold office until the next annual
election. At the annual election the un-expired term of any Chapter
Director shall be filled by election for such un-expired term.
Section 2.
The Board of Directors shall have the power to conduct, manage and
control the affairs and business of the organization and to carry on
any activities to obtain the purpose for which this Chapter is
organized, which is permissible under the laws of the State of
Washington.
Section 3.
The Board of Directors shall have the power to incur indebtedness
and execute all necessary documents in connection with borrowing
funds. The President and Secretary shall be authorized to bind the
organization in executing any documents under the authorization of
the Board of Directors.
Article VI
Membership
Section 1
– Eligibility. Any
person, corporation or association interested in or active in
aviation who agrees to uphold the principles and by-laws of the
Association and pay appropriate dues shall qualify for membership.
Section 2
– Categories. They
are as follows: Primary Members, Secondary Members, Corporate and
Associate. All Membership categories with the exception of Secondary
Members are dues paying. Secondary Members are the Spouse or
domestic partner of the Primary Member. Corporate Members are
corporations that desire to further the objectives of this Chapter.
Associate Members are any aviation association approved by the Board
of Directors. All membership categories shall enjoy all privileges
in Chapter affairs, except Secondary Members may not be elected to
the offices of President and Vice President.
Section 3
– Applications. All
applications for membership shall be made in writing and must be
accompanied by appropriate dues.
Section 4
– Voting Rights.
Primary Members and Secondary Members shall have one vote each on
all matters brought before the general membership at duly
constituted Regular Meetings. All other categories of membership are
nonvoting.
Section 5
– Suspension. The
Board of Directors shall have the power to suspend or expel any
member for conduct which in its opinion adversely affects the
purpose for which the organization is established. Any member so
suspended or expelled shall have the rights to a hearing before the
total membership at a regular or special meeting called for such
purpose. The decision of the majority of the membership shall be
final and conclusive as to the Board’s action.
Section 6
– Dues. Dues are a
combination of the State and Chapter monies and may be adjusted, as
necessary, after due process. All dues shall be charged on an annual
basis starting January 1st and ending December 31st of ech year.
Those paying dues after August 31st shall be credited for the
remainder of that year and all of the following year. Members re
considered to be in good standing only if all dues are current.
Section 7–
Delinquency. When a
member remains in arrears for dues or assessments for a period of
two months after the first day of January, and notice shall have
been given, that person shall forfeit all privileges in the
organization and his/her name shall be dropped from the rolls. The
person may be reinstated by paying the renewal fee for the current
year.
Section 8 – Name Badges.
Each new Primary Member shall be issued a membership Name Badge upon
receipt of dues payment.
Article VII
Books and Records
Section 1.
The books, accounts and records of each individual Chapter shall be
open to inspection by the members at any regular monthly meeting,
and by any member of the State Executive Committee upon two days
written notice.
Article VIII
Committees
Section 1
– Standing. The four
Standing Committees shall be as follows: 1. Safety and Education; 2.
Membership; 3. Promotions; 4. Legislative Affairs.
Section 2 – Special.
From time to time, special committees may be appointed by the
President. Such special committees will be assigned to operate
and/or function under the supervision of one of the above mentioned
Standing Committees.
Section 3
– Ex-Officio. The
President of the Chapter shall be an ex-Officio member of all
committees of the Chapter.
Article IX
Order of Business
Section 1
– Meetings. Order of
business shall include:

C.Report of Committees
D.Unfinished Business
E.New Business
F.Balloting
G.Good of the order
Meetings shall
be conducted in accordance with “Robert’s Rules of Order”
Article X
Amendments
These bylaws may
be amended or new bylaws made subject to the approval of the State
Executive Committee of the WPA, by two-thirds vote of the members
present at any Regular or Special Meeting; provided that the
proposed change or changes have been stated in full in the notice
for meeting at which action is to be taken.
Article XI
Awards
Section 1
– Purpose. The
purpose of the awards is to recognize and acknowledge to the
membership and/or general public the performance of acts that tend
to promote or advance the public image of our aviation interest and
make them more appreciative as to the benefits aviation produces for
the public even though they may not seem directly related. From time
to time, additional awards may be considered by the Board.
Section 2
– Nominations.
Nominations will be made by letter and submitted to the nominating
committee not later than the last Board meeting in October. The
nominating committee will establish award recipients by a majority
vote of a quorum and presented to the Board at a Board Meeting in
November.
Section 3
– Presentation.
Awards may be recognized by a presentation of :

2.Certificate
3.Plaque
And may be
suitably inscribed as the Board may seem fitting.
Section 4
– Criteria for Indicated Awards.
Pilot of
the Year. This is
the highest award the Chapter may give. The nominations shall be a
licensed pilot judged to have made outstanding contribution(s) to
the advancement of general aviation throughout the past year.
Recipient of this award shall be nominated for the State WPA Pilot
of the Year competition.
Sponsor of
the Year. To be
awarded to the individual, group, or company who contributes most
significantly in helping the Chapter to achieve its stated goals.
This contribution should not be a financial one but rather should be
based on the greatest contribution of effort, expertise, donated
services or facilities and leadership training by the example it
sets.
Sparkplug
of the Year. This
Award shall be given to the person or persons, who by their
enthusiasm, talent, leadership ability and hard work inspire others
to get involved and actively participate in the projects of the
Chapter.
The Wright
Stuff. The Wright
Stuff Award shall be given in response to circumstances surrounding
an incident that required outstanding flying or judgment. The
criterion is that the aircraft must have been under power with a
pilot in command.
